TERM / DURATION: The initial service “Hosting” term of the Agreement shall begin after the Effective date and continue for the period of 12 (Twelve) Months. After the first 12 (Twelve) Months the contract will continue on a monthly basis.
Early Termination: Customer acknowledges that the amount of the monthly recurring fee for the hosting service will be due for the entire term agreed upon.
CUSTOMER PAYS FULL TERM UPON EARLY TERMINATION*
Cancellation of Services: Customer is required to provide a 30-Day notice of cancellation to any Vialect Inc. service or subscription anytime after this term expires.
Liability: CUSTOMER IS SOLELY RESPONSIBLE FOR THE SUITABILITY OF THE SERVICES CHOSEN. ALL GOODS AND SERVICES ARE PROVIDED ON AN “AS IS” BASIS. VIALECT INC SHALL NOT BE HELD LIABLE FOR ANY LOSS OF DATA OR SERVICE INTERRUPTION AND SHALL NOT BE LIABLE TO THE CUSTOMER FOR HARM CAUSED BY OR RELATED TO CUSTOMER’S USE OF THE SERVICES OR INABILITY TO USE THE SERVICES.
NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY LOST PROFITS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGE OF ANY KIND, OR FOR DAMAGES THAT COULD HAVE BEEN AVOIDED BY THE USE OF REASONABLE DILIGENCE, ARISING IN CONNECTION WITH THE AGREEMENT, EVEN IF THE PARTY HAS BEEN ADVISED OR SHOULD BE AWARE OF THE POSSIBILITY OF SUCH DAMAGES.
